Confidentiality commitment

1 Background

“Company” name with customer number **********, together with its subsidiaries and other affiliates ("Customer"), has an established partnership with Olssons in Ellös AB (together with its subsidiaries, "Olssons"). Customer and Olssons are collectively referred to as the "Parties".

1.1 Within the framework of the Parties' collaboration, Olssons will share certain information with the Customer to facilitate its sales of goods. Specifically, this includes information about Olssons' sales products, their article numbers, Customer's gross and net prices (which may be adjusted from time to time), and the information recorded in Customer's system. All such information and data is hereinafter referred to as the "Information.".

1.2 Customer understands that the Information belongs to Olssons, has significant commercial value for Olssons, and that dissemination or improper use thereof could cause harm to Olssons.

2 Undertaking

2.1 Against the background stated above, the Customer undertakes, without any time limitations:

(i) to use the Information solely for the purpose of streamlining its sales of goods from Olssons and not for any other purpose; and

(ii) not to disclose the Information to third parties and to take reasonable measures to protect it from unauthorized access.

2.2 If the collaboration between Customer and Olssons ceases, upon Olssons' request, the Customer shall promptly return or destroy (in accordance with Olssons' instructions) all copies of, or other documents containing, the Information in its possession, including removing such Information from its electronic systems.

2.3 This undertaking shall be governed by Swedish law.

2.4 Any disputes arising out of or in connection with this undertaking shall be finally settled by arbitration administered by the Arbitration Institute of the Stockholm Chamber of Commerce (SCC). The Rules for Expedited Arbitrations shall apply unless the SCC, considering the complexity of the case, the value of the subject matter, and other circumstances, determines that the Arbitration Rules shall apply. In the latter case, the SCC shall also determine whether the arbitration tribunal shall consist of one or three arbitrators.

2.5 The place of arbitration shall be Gothenburg.

2.6 Arbitration proceedings invoked pursuant to this arbitration clause shall be confidential. The confidentiality applies to all information disclosed during the proceedings, as well as decisions or awards rendered in connection with the proceedings. Information subject to confidentiality shall not be disclosed to any third party without the consent of the other Party. The confidentiality undertaking does not apply to the disclosure of information required by national mandatory law, court or legal authority orders to safeguard legitimate legal interests or to enforce, challenge, or appeal a judgment or arbitration award.
